Board of Directors
§ Exercises general supervision and control over the affairs of the Chapter
§ Presents recommendations for action at regular Chapter meetings
§ Authorizes payment of any indebtedness incurred for approved budget items.
§ Recommends an annual budget for the Chapter’s approval.
§ Can create special committees, and,
§ Transacts all other business of the Chapter not otherwise provided for.
§ Presides at all meetings and serves as Chairman of the Board of Directors
§ Can create Special Committees, and appoint Chairmen and members to all Standing and Special Committees (with the exception of the Nominating Committee)
§ One of three authorized to sign checks
§ Must be someone who has served on the Board.
§ Performs the duties of the President in her absence and succeeds to the office of the President should it become vacant.
§ Is expected to Chair a major Committee.
§ Organizes all regular meetings and/or heads the Program Committee for the purpose of securing speakers and meeting locations.
§ Responsible for permanent records of the chapter including minutes of all regular and special meetings of the Chapter and Board of Directors
§ Keeps a current roster of the Chapter membership (may be assigned to a director)
§ Notifies all members of the time and place of Chapter meetings (also may be assigned to a director)
§ Performs such other duties as may be requested by the President or the Board of Directors
§ Custodian of all chapter funds
§ Pays bills authorized by the Board of Directors
§ Keeps an itemized account of receipts and disbursements
§ Presents a written report at regular meetings of the Chapter and the Board of Directors
§ Prepares and files in a timely manner IRS Form 990 for the fiscal year in which she serves as Treasurer.
